This Course Consist of the following contents -1.Introduction to Corporate Governance Philosophy -Study the evolution of corporate governance in India in terms of legislation. Understand the recommendations of some of the key committees on corporate governance, like the Kumar Mangalam Birla committee report and Narayana Murthy committee report. 2.The Board of Directors – I -Examine the provisions in the Companies Act, 2013 (“Act”) on the composition of the board, including women directors and independent directors. Understand the powers and duties of directors and the provisions in the code for independent directors. Understand the provisions governing the meetings of the board of directors. 3.The Board of Directors – II -Understand the various restrictions applicable to individual directors and on the company vis-à-vis its directors. Differentiate between the different committees of the board of directors. Learn about the governance provisions applicable to the boards of listed companies. 4.Managers of the Company -Understand the provisions relating to managerial personnel under the Act. Study the specific provisions applicable to the managerial personnel of listed companies.
